Cross-border M&A is not necessarily more difficult when cultures are very different. The key is that all parties recognize and appreciate the differences.
Dominic Orchard is a Senior Director with Alvarez & Marsal in London. He brings more than 17 years experience working in both private equity and professional services. He specialises in operational due diligence, carve-outs, and post-merger integration situations across multiple industries, including industrial manufacturing, consumer, insurance and business services.

Most recently Mr. Orchard led an operations due diligence and carve-out assessment on behalf of a PE fund in the $703 million acquisition of a women’s health products portfolio in a listed international pharmaceuticals group. The carve-out included the product range and associated sales teams in 25+ markets, requiring NewCo to stand-up all remaining staff, operations and infrastructure.  

Mr. Orchard recently led the merger integration planning, synergy and performance improvement identification, and implementation of two PE-backed groups, aiming to create the global leader in the testing and measurement equipment industry, with over $320 million of revenue, 750 staff, and joint-HQ’s in London (U.K.) and Los Angeles (U.S.).

Mr. Orchard also led an operations due diligence, IT, carve-out and synergies assessment of a global marine services group, operating in 54 countries with 670 staff. Working for a PE-owned acquirer, he was responsible for establishing the transaction carve-out perimeter; determining the cost base; assessing the vendor carve-out plan; identifying the TSAs required and one-off costs incurred; as well as developing a new structure and operating model for a merger that would create the number one player in global marine safety with nearly $600 million of revenue and 3,000 staff.

Prior to joining A&M, Mr. Orchard was a Partner at KPMG in Hong Kong and China, responsible for providing operational due diligence, carve-outs and post merger integration services, with example engagements including: leading the pre-deal operational due diligence for an acquisition of an international telecommunications group; identifying key people-related issues and risks, as well as validating potential cost and revenue synergies; leading the pre-deal and post-deal planning and integration for a global auto group, in establishing its manufacturing and distribution joint venture with a Chinese state-owned enterprise; and leading the regional integration and performance optimisation for a global, U.K.-listed education and publishing group on its acquisition of an international education business.

Prior to KPMG, Mr. Orchard was a Director with 3i Group Plc., in London, Hong Kong and Singapore, responsible for driving performance improvement in the portfolio across Asia.

Mr. Orchard earned a master's degree in management and e-commerce from the University of London and a bachelor's degree in geography from the University of Southampton. He is a member of the Project Management Institute. He is a U.K. national and Hong Kong Permanent Resident holder.
