Brian Reed

Mr. Reed has led strategic tax planning and structuring for acquisitions, carve-out divestitures, public company spin-offs, internal reorganizations, and cross-border transactions. His technical depth spans the full spectrum of M&A tax issues, including Subchapter C, consolidated return matters, and cross-border tax planning.
Notably, Mr. Reed has played a pivotal role in dozens of marquee transactions, including a $10 billion take-private and multiple public company spin-offs ranging from $4 billion to $60 billion in value. His work spans industries such as technology, healthcare, life sciences, industrials, and consumer products—where he is known for delivering clarity, precision, and results in high-stakes environments.
Prior to joining A&M, Mr. Reed spent 19 years in the National Tax Department of EY, where he was a partner in the M&A Group. Widely recognized as a thought leader, he was frequently tapped to lead EY’s most sophisticated corporate transactions. Mr. Reed is a regular speaker at leading tax conferences, including those hosted by the American Bar Association and Practising Law Institute, and has authored numerous articles on tax-free reorganizations, cross-border structuring, earnings and profits, and the stock buyback excise tax.
Mr. Reed earned a bachelor’s degree in finance and a master’s degree in accountancy from the University of Akron. He is a Certified Public Accountant (CPA) in Ohio and Washington, DC.
