Loren Loftesnes is a Managing Director with Alvarez & Marsal Transaction Advisory Group in San Francisco. He specializes in evaluating the quality of earnings as well as assessing cash flows and working capital requirements through analysis of financial statements and identification of key business drivers. He provides analyses for both buy-side and sell-side transactions for private equity firms and strategic buyers in the software, technology, hardware, services and distribution sectors.

With more than 11 years of accounting, financial analysis, and operational experience, Mr. Loftesnes advises clients on the achievability of business plans, carve-outs of business unit operations, modeling of future cashflows, and purchase accounting issues. He assists clients throughout all phases of an acquisition, from pre-deal evaluation during an auction through post-deal purchase price adjustments and working capital disputes. Mr. Loftesnes has advised clients on over 175 financial accounting due diligence transactions during his tenure at A&M.

Mr. Loftesnes' notable assignments include advising Aurora Capital’s sale of Mitchell International, Audax on the sale of Data Intensity; Accel-KKR on the sale of HighJump Software; Pamplona Capital’s acquisition of Logicworks; and Francisco Partner’s acquisition of Capsilon Software. Most recently, he was responsible for leading the financial diligence team that advised A&M Capital’s portfolio company, PureStar, on the successful acquisition of over thirteen add-ons and the ultimate sale of the platform company to Cornell capital.

Prior to joining A&M, Mr. Loftesnes was a Senior Associate with the Private Client Services group of PricewaterhouseCoopers LLP in Minneapolis. He worked with private clients to assess key performance indicators, analyze financial risk, evaluate management processes for improvement, and provide audit reports. The majority of his clients were portfolio companies of private equity firms. He has experience across several industries including heavy equipment distribution, firearms distribution, food service, print media, plastics, and retail apparel.

Mr. Loftesnes earned a bachelor's degree in accountancy from the University of North Dakota. He is a Certified Public Accountant (CPA) and a member of the American Institute of Certified Public Accountants (AICPA).
