Jeffrey Schwarcz

With 20 years of experience, Mr. Schwarcz brings strategic expertise in domestic and international private equity and corporate tax matters, including acquisitions, dispositions, reorganizations, leveraged buyouts, recapitalizations, IPOs, and in- and out-of-court restructurings. He advises private equity and strategic buyers and sellers on the tax aspects of domestic and global M&A in the areas of global tax structuring, tax due diligence, cash tax modeling, complex carve-out transactions, capital structure planning, reorganizations, legal entity rationalization, cash and effective tax rate optimization, and integration of existing and acquired businesses. Mr. Schwarcz has served clients across various industries, including financial services, energy and infrastructure, entertainment, manufacturing, retail, software and technology, healthcare, consumer, industrials, and business services.
Prior to joining A&M, Mr. Schwarcz worked in the M&A Tax practice of EY in New York. In this role, he provided advisory services (such as tax due diligence, tax modeling, and structuring) to strategic corporate clients and private equity firms involved in mergers, acquisitions, and restructurings. Previously, Mr. Schwarcz was an Attorney at Hunton Andrews Kurth LLP, where he advised clients on tax-related aspects of M&A, tax-free reorganizations, joint ventures, securities offerings, cross-border investments, and debt restructurings, both in and out of bankruptcy.
Mr. Schwarcz earned a bachelor’s degree in accounting from Binghamton University and a J.D. from the Maurice A. Deane School of Law at Hofstra University, New York. He is admitted to practice law in New Jersey and New York, and also holds a Certified Public Accountant (CPA) license in New York. Mr. Schwarcz was also the Vice President of the New York Chapter of the American Association of Attorney-CPAs (AAA-CPA).
