On July 31, 2014, the Court of Queen’s Bench of Alberta granted an Order appointing Alvarez & Marsal Canada Inc. as receiver and manager, without security, of all of the current and future assets, undertakings and properties of every nature and kind whatsoever, and wherever situated, including all proceeds​ of Sprague-Rosser Contracting Co. Ltd., Sprague-Rosser Developments Inc. and Pacific Federation Equity Group Inc. (collectively, “Sprague”)

On September 3, 2014, the Receiver filed a voluntary assignment in bankruptcy on behalf of Sprague-Rosser Contracting Co. Ltd. pursuant to a Court Order and A&M was appointed trustee (the “Trustee”), subject to affirmation by the creditors of the Company at the first meeting of creditors held on September 22, 2014. On October 18, 2019, the Court of Queen’s Bench of Alberta granted an order (the “Discharge Order”) approving the discharge of the Receiver as receiver and manager of Sprague, and relieving the Receiver of its duties and obligations with respect to Sprague, upon filing of a Receiver’s Certificate. On March 10, 2020, the Receiver filed the Discharge Certificate.
