Tim Denning is a Managing Director with Alvarez & Marsal Global Transaction Advisory Group in Sydney. 

Mr. Denning specializes in buy- and sell-side financial due diligence and sale and purchase agreement (SPA) support for private equity and corporate clients across a range of industries, including software, business services, consumer and retail, healthcare, and industrial goods and services.

With more than 18 years of experience in due diligence, Mr. Denning has advised clients on domestic and cross-border transactions. He has led integrated cross-functional teams and leveraged data analytics enablement tools to help clients navigate challenges across the deal and investment life cycle, delivering differentiated and deeper insights into transactions.

Mr. Denning has great expertise in evaluating a company’s key financial and operational business drivers, the quality and sustainability of historical and forecast earnings and cash flows, its working capital requirements, and debt-like exposures. He also has extensive experience reviewing SPAs and advising on key drivers, from pricing considerations and transaction enterprise to equity value bridges.

Prior to joining A&M, Mr. Denning spent more than 16 years with EY and PwC, working most recently as a Director in the EY transaction diligence team in Sydney. He started his career in Bristol in the UK.

Mr. Denning earned a bachelor’s degree in management from the University of Warwick in the UK. He is a member of the Institute of Chartered Accountants of Scotland (ICAS).
