Stephen Ferguson

Mr. Ferguson specializes in providing buy- and sell-side financial due diligence services for private equity firms and strategic buyers, with a primary concentration in the software and technology industries.
Mr. Ferguson has over nine years of M&A financial due diligence experience, including cross-border transactions, carve-outs, public companies and founder-run businesses. He advises clients on transaction-related matters, including analysis of recurring EBITDA and cash flow, ARR and customer retention metrics, review of purchase agreements, analysis of financial statements, identification of value opportunities and dealbreakers and evaluation of working capital and capital expenditure requirements.
Prior to joining A&M, Mr. Ferguson spent two years with PwC in Los Angeles in the Assurance practice. In this capacity, he worked primarily with clients to assess key performance indicators, analyze financial risk, evaluate internal controls for improvement and provide audit reports. His experience includes both private and Fortune 500 public companies, such as The Walt Disney Company, Sony Pictures and William Morris Endeavor.
Mr. Ferguson earned a bachelor’s degree in business economics (minor in accounting) (cum laude/Phi Beta Kappa) from the University of California, Los Angeles. He is a Certified Public Accountant in the state of California.
