Michael O'Dowd

With more than 25 years of transaction-related experience, including 20 years as a Managing Director, Mr. O’Dowd specializes in coordinating and leading financial accounting due diligence projects for both buy-side and sell-side engagements. He has advised clients on assessing quality of earnings and working capital, leverage recapitalizations, purchase accounting, Securities and Exchange Commission (SEC) reporting, and GAAP accounting.
Additionally, Mr. O’Dowd has advised on complex acquisitions involving businesses carved out of public and private companies. He also assists clients with the drafting of sales and purchase agreements, purchase price adjustment mechanisms, and determining post-transaction reporting requirements.
Mr. O’Dowd has served clients across a range of industries, including manufacturing, retail, distribution, consumer products, industrial products, business services, and financial services. He has also led international due diligence transactions for both private equity and strategic buyers.
Prior to joining A&M, Mr. O’Dowd was a Managing Director with the Transaction Advisory Services practice of Kroll (formerly Duff & Phelps). Previously, he worked within the Transaction Advisory Services practices of both EY and Arthur Andersen in New York.
Mr. O’Dowd earned a bachelor’s degree in accounting from Muhlenberg College. He is a Certified Public Accountant (CPA) in the state of Pennsylvania.
