With more than 27 years of international tax experience, Mr. Zwaan primarily advises on deal structuring and conducts buy- and sell-side tax due diligence. He has worked on a vast number of deals in Indonesia across various sectors.
Mr. Zwaan’s notable assignments include advising an investor consortium on the setup of a toll road investment platform and the acquisition of various Indonesian toll road companies and assets. The platform is targeting up to $2.75 billion of investment opportunities in Indonesia’s toll road network.
Mr. Zwaan has also advised sovereign wealth funds, pension funds, and private equity funds with respect to transactions across a wide range of sectors, including automotive, e-commerce, renewables, fintech, healthcare, infrastructure, life science, manufacturing, multi-finance, pharmaceutical, real estate, technology, media, and telecommunications, and transportation and logistics. In addition to his international tax and M&A tax work, he provides strategic advice to clients regarding tax audits and tax disputes.
Prior to joining A&M, Mr. Zwaan was a Partner at KPMG Indonesia for over nine years, leading the International Tax and M&A Tax practices. In this capacity, he was involved in many cross-border and domestic M&A transactions. Before that, he spent almost 18 years with the law firm Loyens & Loeff, working from its Amsterdam, Geneva, and Zürich offices.
Mr. Zwaan earned a master’s degree in tax law from Universiteit Leiden. He regularly speaks at tax conferences, is a Bloomberg Tax author, and teaches at the Tax Academy of Singapore.
