Brad Boudouris

Mr. Boudouris specializes in post-acquisition accounting disputes (including working capital, earn-out, and breach of representations and warranties claims); accounting and financial reporting for complex transactions under GAAP, IFRS and other applicable standards; forensic investigations involving technical accounting matters; and helping clients prepare for financial statement audits and restatements.
Mr. Boudouris has worked with clients in various industries, including manufacturing, banking and financial services, pharmaceuticals, aerospace, healthcare, energy, insurance, construction, specialty chemicals, telecommunications and technology, agriculture, and retail.
Mr. Boudouris has reviewed hundreds of purchase agreements and provided post-acquisition dispute services to private equity firms, publicly traded companies, and individuals. He has provided professional services in these disputes on behalf of purchasers and sellers and in matters in which A&M served as a neutral accounting arbitrator. Mr. Boudouris has testified on post-acquisition disputes in deposition, arbitration, and federal bankruptcy court.
Mr. Boudouris has also provided forensic accounting analyses for acquired entities to help explain unusual fluctuations in post-acquisition profitability; financial statement and audit preparation assistance for recently acquired entities and entities emerging from bankruptcy; investigations of accounting irregularities and allegations of earnings management following whistleblower allegations; and analyses of publicly traded companies’ application of GAAP and assistance in resulting financial statement restatements.
Mr. Boudouris earned bachelor’s degrees in accounting and finance and a master's degree in accounting from the University of Illinois at Urbana-Champaign. A Registered Certified Public Accountant in Illinois, he coauthored the Representation and Warranties Insurance supplement to the Mergers and Acquisitions Disputes practice aid issued by the AICPA Forensic and Litigation Services Committee.
