Ali Anwar

Based in the Middle East for over a decade, Mr. Anwar's core expertise is advising sovereign wealth funds, global and regional private equity firms, multinational corporations and family offices on M&A and capital markets transactions as a financial due diligence advisor. He also leads integrated due diligence engagements that include a combination of financial, commercial, operational, technical, IT, digital and tax due diligence workstreams. Mr. Anwar has advised on transactions involving some of the best-known Middle East-based businesses and high-profile investors.
Mr. Anwar approaches transaction advisory engagements by critically evaluating a business to confirm the deal rationale; identifying key business drivers, trends, risks and potential upsides/downsides by assessing the quality of historical earnings and sustainability of forecast earnings and cash flows; identifying potential adjustments to reported earnings/EBITDA, net working capital and net debt that could impact deal valuation, structuring or other transaction elements; and delivering SPA advice related to accounting/financial matters, including definitions, deal structuring, pricing mechanism, purchase price adjustments, deferred consideration, earnouts, and risk protection.
Mr. Anwar has advised on 200+ transactions/projects, including engagements for pre-acquisition financial due diligence, vendor financial due diligence, integrated due diligence, reporting accountant roles for capital markets transactions, SPA support from an accounting/financial perspective, and other transaction advisory services including deal origination, market entry approaches, feasibility studies, expansion strategies, and operating model and business case development.
Prior to joining A&M, Mr. Anwar spent nearly 15 years with Ernst & Young (EY), serving most recently as a Partner in the transaction advisory services practice. He was based most recently in the UAE, where he advised clients across the Middle East on domestic and outbound transactions. Previously, he was based in Saudi Arabia, where he helped rebuild EY’s transaction advisory services practice. He started his career with EY in London.
Mr. Anwar earned a bachelor’s degree in mathematics from Imperial College London. He is a qualified Chartered Accountant.
