Emma Zhao

With over eight years of expertise in U.S. tax compliance and planning, Ms. Zhao excels in federal compliance and consulting for complex multinational partnerships, high-net-worth individuals, and family offices, particularly in the real estate and professional services sectors. She has developed detailed financial models to analyze the tax consequences of debt restructuring and changes in debt allocation methods.
Ms. Zhao’s expertise extends to managing the intricate tax considerations and reporting requirements associated with M&A transactions. She has successfully assisted numerous clients with post-transaction tax basis step-up calculations, built-in gain calculations, tax capital account setup and maintenance, purchase price allocation, and execution of critical tax elections, including sections 338(h)(10), 263(a), and 754.
Ms. Zhao earned a bachelor’s degree in accounting as well as a master’s degree in accounting from the College of William & Mary, Virginia. She is a licensed Certified Public Accountant in Virginia. Ms. Zhao is fluent in both English and Mandarin.
