Philip Allan

Mr. Allan specialises in carve-outs, pre-deal synergy and merger integration situations, as well as providing transformational support. He has worked across a range of industries, including financial services, professional services, telecommunications, consumer, healthcare, mining and industrials. Mr. Allan brings experience working buy- and sell-side, leading due diligence, independent reviews and assist projects. He has worked with corporates and private equity clients to deliver value across the full deal life cycle.
Recently at A&M, Mr. Allan supported a private equity firm in the carve-out of a global refractory products and metal casting solutions business with revenues of ~€900 million and operations in 16 countries across EMEA, APAC and the Americas with over 2,800 employees and 36 plants. He advised the private equity firm during the sign to close and post-close phases. His support included establishing joint governance, Day 1 readiness, TSA negotiation and operationalisation, carve-out and TSA exit planning.
Additionally, Mr. Allan supported a private equity firm in the $2 billion carve-out of a tax mobility and immigration services business from a global professional services firm involving over 6,000 staff across 40+ territories. He also supported a private equity business in the £1.9 billion acquisition of a specialist clinical trial, drug development and regulatory compliance data business from a FTSE 100 group. Furthermore, Mr. Allan supported a private equity business during its £1.5 billion acquisition of an aircraft engine manufacturer, involving a complex carve-out from an FTSE 100 Group.
Prior to joining A&M, Mr. Allan spent 13 years with KPMG, 10 of which were spent with the Integration and Separation team, where he most recently served as a Director. During this time, he led complex carve-outs, synergy assessments and integrations across a variety of industries. Previously, Mr Allan worked within KPMG’s Tax department.
Mr. Allan earned a bachelor’s degree in chemical engineering from the University of Nottingham. A British national, he is a Chartered Accountant (CA from The Institute of Chartered Accountants of Scotland, ICAS) and a Chartered Tax Advisor (CTA from The Chartered Institute of Taxation, CIOT).
