TAX HIGHLIGHTS

HMRC is currently running a consultation process that could have relevance for PE-backed businesses. The consultation into Close Company Reporting Requirements may be relevant - particularly where the group has extensive transactions with its shareholders. 

Additionally, recent R&D tax credit changes have materially changed whether companies can claim the credit in the UK. For PE-backed groups, failing to adapt now risks erosion of claim value and lost cash. On the flip-side, well-structured R&D claims continue to deliver non-dilutive cash funding that supports deleveraging, reinvestment, and EBITDA optics. 

IFRS - 18 Update

IFRS 18 is effective for annual reporting periods beginning on or after 1 January 2027, and is to be applied retrospectively for comparative periods. 

The new standard will significantly impact the presentation and disclosures of financial statements, particularly the statement of profit or loss, and will affect entities across diverse industries.

Building on a previous roundtable discussion, we are hosting a small roundtable for Private Equity finance operating partners and large-cap CFOs to exchange practical experience on implementing AI within the finance function. Given how quickly the landscape has evolved, the focus is now firmly on scaling implementation. 

We will be joined by Will Fairbairn, from Zalos, who will bring practical perspectives on the use of computer agents and how they are starting to reshape finance workflows.
