Introduction
On February 3, 2026, Toys “R” Us (Canada) Ltd. / Toys “R” Us (Canada) Ltee. (the “Applicant”) made an application to the Ontario Superior Court of Justice (Commercial List) (the “Court”) and was granted an order (the “Initial Order”), which, among other things, provides for a stay of proceedings pursuant to the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”).
 
Pursuant to the Initial Order, Alvarez & Marsal Canada Inc. was appointed as monitor (the “Monitor”) of the business and financial affairs of the Applicant.
 

Sale and Investment Solicitation Process

On April 1, 2026, the Court granted an Order (the “SISP Order”), which among other things, approved the sale and investment solicitation process (the “SISP”) in the form attached as Schedule “A” to the SISP Order.

Interest parties are required to submit a non-binding letter of interest (“LOI”) to the Monitor no later than 5:00 p.m. (Eastern Time) on May 1, 2026 (the “Phase 1 Bid Deadline”).

Interested parties who wish to participate in the SISP must provide the Monitor with an executed Non-Disclosure Agreement. Please contact the Monitor for additional information regarding the SISP and for a copy of the Non-Disclosure Agreement.
