Sarah Bruno
For more than a decade, Ms. Bruno has advised large-cap and middle-market private equity funds on complex cross-border platform acquisitions, add-on investments, and exits. Her transaction experience spans the full deal life cycle, including leveraged buyouts, tax-deferred rollovers, reorganizations, joint ventures, recapitalizations, taxable and tax-free separations, and post-merger integration planning.
Ms. Bruno brings additional experience in developing complex transaction models, such as tax basis and gain/loss calculations for carve-outs, tax-receivable agreement attributes for umbrella partnership–C corporation special purpose acquisition company/IPO processes, and Section 743(b) basis adjustments for partnership purchases or sales.
Prior to joining A&M, Ms. Bruno spent 11 years in EY’s Transaction Tax practice in San Francisco.
Ms. Bruno earned a bachelor’s degree in economics from the University of California, Berkeley and a JD from the University of California College of the Law, San Francisco (formerly UC Hastings). She is a member of the State Bar of California and serves as an advisor to the SEO Scholars Leadership Council.
