Rafael de Oliveira Carlos is a Managing Director with Alvarez & Marsal Financial Advisory and Special Situations in São Paulo. He serves as Head of M&A and Corporate Finance for A&M Brazil. Mr. Carlos brings more than 25 years of experience advising corporations, shareholders, and private equity firms on M&A, divestitures, capital raising, refinancing, strategic transactions, performance improvement, and restructuring across Latin America.

Mr. Carlos has advised clients through every stage of the deal life cycle. His experience spans healthy companies pursuing growth as well as organizations navigating complex financial or operational challenges.

Mr. Carlos has led M&A transactions in Brazil for a Fortune 500 US-based financial technology company, the telecommunications division of one of Colombia’s largest conglomerates, the Brazilian electricity business of a Japanese conglomerate, and an industrial portfolio company owned by Brazil’s largest private equity firm. In addition to his transaction advisory experience, Mr. Carlos has served as interim CEO leading operational turnaround and performance improvement for a leading manufacturer of home appliance components and for a Brazilian alcohol producer and distributor. This executive operating experience gives him a practical perspective on value creation, enabling him to advise clients beyond transaction execution.

Over his career, Mr. Carlos has advised on some of Brazil’s most complex restructuring and special situations engagements, including for publicly traded and private equity-backed real estate developers, retailers, and construction companies. Further, he has led strategic and organizational transformation programs for telecommunications companies in Brazil, Argentina, Chile, and Venezuela.

Prior to joining A&M, Mr. Carlos worked at Value Partners Group, where he advised clients on operational, financial, and strategic improvement initiatives and evaluated investment opportunities across Latin America. Earlier in his career, he held roles at Monitor Group and Altima Partners, advising chief executives and shareholders on corporate strategy, growth initiatives, and market entry.

Mr. Carlos earned a bachelor’s degree in electrical engineering (concentration in telecommunications) from the Universidade Estadual de Campinas. He also earned an MBA (concentrations in finance and management) from the Wharton School of the University of Pennsylvania. He is fluent in Portuguese, English, and Spanish.
