Patrick Ryan is a Managing Director with Alvarez & Marsal Tax in Chicago. He assists clients in all aspects of employee benefits matters in connection with corporate transactions, including executive compensation, qualified and nonqualified plans, health and welfare plans, and integration planning. 

Mr. Ryan’s experience includes negotiating executive compensation and employee benefits matters in M&A transactions, including pre- and post-closing integration planning, placement of new plans or harmonization of existing plans, and go-forward executive employment and incentive agreements; performing Section 280G analyses; coordinating employee benefits due diligence reviews; assisting clients with respect to matters before the Internal Revenue Service (IRS), US Department of Labor (DOL), and Pension Benefit Guaranty Corporation; correcting operational and documentary failures pursuant to IRS and DOL correction programs; and complex controlled group analyses. 

In addition, Mr. Ryan assists clients with respect to compliance with the Patient Protection and Affordable Care Act, including penalty disputes as well as the establishment of qualified and nonqualified retirement plans, severance and retention plans, executive and rank-and-file employee agreements, bonus and commission plans, and health and welfare plans. 

Prior to joining A&M, Mr. Ryan spent 16 years as an Employee Retirement Income Security Act (ERISA) attorney with McDermott Will & Schulte and Kirkland & Ellis in Chicago. He most recently served as the partner in charge of the employee benefits transaction practice at McDermott Will & Schulte. 

Mr. Ryan earned a bachelor’s degree in accounting from Indiana University, a law degree from DePaul University College of Law, and an LLM in employee benefits from University of Illinois Chicago Law.
