On May 17, 2026, Bitcoin Depot Inc. and certain of its subsidiaries and affiliates (collectively, the “Chapter 11 Debtors”) commenced cases in the United States Bankruptcy Court for the Southern District of Texas, Houston Division by filing voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code (the “Chapter 11 Proceedings”).
In connection with the Chapter 11 Proceedings, Bitcoin Depot Inc. was appointed to act as a foreign representative (in such capacity, the “Foreign Representative”) of Digital Gold Ventures Inc., BitAccess Inc., and Express Vending Inc. (collectively, the “Canadian Debtors” and each a “Canadian Debtor”) for relief pursuant to Part IV of the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”) and Section 106 of the Courts of Justice Act, RSO 1990, as amended.
On May 22, 2026, the Ontario Superior Court of Justice (Commercial List) granted the Initial Recognition Order and a Supplemental Order (Foreign Main Proceeding) (collectively, the “Recognition Orders”), which among other things, provides for a stay of proceedings for the Canadian Debtors pursuant to the CCAA.
