National windows and doors manufacturer with revenue of approximately £90m, operating from four production sites and 30 trade centres.

SITUATION

• Customade had experienced challenging trading conditions due to higher interest rates and an uncertain economic outlook impacting demand for home improvements.
  The Company had approximately £33m of senior debt facilities.
   

A&M ROLE AND OUTCOME

• A&M was engaged as lead advisor in December 2023 to conduct an M&A process of the Group and / or its individual business units. 
• A break-up of the Group’s business units was identified as the preferred option by bidders due to the complexity and cost of the group as a whole.
• Following significant financial and carve-out structuring work, sales of three business units via pre-packaged Administrations were achieved, to two separate private equity purchasers (Nimbus and BOSS).
• The transactions safeguarded nearly 600 jobs.
