BUSINESS DESCRIPTION

  • A business-to-business (“B2B”) marketing and photography business.​

  • The B2B division involved the distribution or marketing samples and product sponsored presentations via “Bounty Packs”, publishing, online media and electronic mailing programmes, providing pregnancy and parenthood advice.​

  • The photography division provided photography services to new parents under exclusive contracts with circa 120 hospitals across the UK.​

SITUATION

  • The company’s operations were significantly disrupted by the COVID-19 pandemic, creating cash pressure on the business as Bounty staff were unable to access the hospitals. The Bounty Packs were then being distributed by midwives and photography ceased during the pandemic with all photographers being placed on the Coronavirus Job Retention Scheme.​

A&M ROLE AND OUTCOME

  • A&M was engaged to advise on restructuring options, which was later extended to conduct a special situations M&A process. We approached a wide range of interested parties consisting of financial investors and trade parties.

  • The offer was made for the business and assets of the B2B division, with an option over the photography contracts with the UK hospitals.

  • The purchaser approached the Pre-Pack Pool, who supported the transaction and resulted in the sale of B2B division, preserving a number of jobs.
